Simones Tutoring FZE — Educator Terms and Platform Agreement

These Educator Terms and Platform Agreement (“Agreement”) govern the relationship between Simones Tutoring FZE (“Simones Tutoring,” “we,” “our,” or “us”) and any tutor, instructor, coach, mentor, or educational provider (“Educator,” “you,” or “your”) who offers educational services through our platform. By applying to teach, tutoring, mentoring, coaching, or otherwise providing educational services through Simones Tutoring FZE (“Simones Tutoring,” “we,” “our,” or “us”), you agree to this Teacher Addendum and the Terms.

Any capitalized terms not defined in this Teacher Addendum have the meanings assigned in the Terms.

1. Educator Standards and Responsibilities

a. Marketplace Participation

As a Teacher, you agree to provide accurate and complete information required for Simones Tutoring to list and promote your classes, tutoring sessions, educational programs, workshops, or related services (“Classes”), including but not limited to:

• Class descriptions

• Subject areas

• Learning objectives

• Pricing

• Scheduling availability

• Teacher qualifications and experience

• Required materials or technology

All Classes must comply with Simones Tutoring policies, educational standards, and applicable laws and regulations.

Simones Tutoring reserves the right to:

• Approve or reject any teacher application;

• Suspend or remove Teachers from the platform;

• Modify onboarding requirements;

• Require additional verification or compliance documentation;

• Remove or decline any Class listing that does not meet our standards.

We may conduct background checks, identity verification, credential verification, or other compliance reviews where permitted by law.

Teachers agree to cooperate fully with any verification or compliance process.

b. Professional Conduct and Community Standards

Teachers are expected to maintain professional, respectful, and ethical behavior in all interactions with:

• Students

• Parents or guardians

• Other teachers

• Simones Tutoring staff

• Educational partners

• Members of the public when representing Simones Tutoring

Teachers may not:

• Harass, bully, intimidate, or discriminate against others;

• Use offensive, abusive, hateful, or inappropriate language;

• Share confidential student or parent information;

• Damage the reputation of Simones Tutoring through misconduct or misrepresentation;

• Post misleading claims regarding qualifications or services;

• Engage in unprofessional conduct during classes or communications.

Teachers must maintain appropriate online classroom behavior and provide a safe, inclusive, and respectful learning environment.

c. Student Safety and Child Protection

Teachers are responsible for maintaining student safety during all educational interactions.

Teachers must:

• Follow all applicable child protection and safeguarding laws;

• Immediately report suspected abuse, exploitation, neglect, or unsafe conduct where legally required;

• Maintain professional boundaries with students;

• Avoid inappropriate private communications with minors;

• Conduct lessons only through approved Simones Tutoring communication systems unless otherwise authorized.

Teachers are solely responsible for complying with any local mandatory reporting obligations applicable in their jurisdiction.

Simones Tutoring may independently report suspected violations or safety concerns to relevant authorities where appropriate.

d. Teacher Responsibilities

Each Teacher is solely responsible for:

• Maintaining any licenses, certifications, permits, or qualifications required by applicable law;

• Ensuring the legality of their teaching activities in their country or region;

• Delivering Classes in a competent, prepared, and professional manner;

• Providing accurate educational content;

• Ensuring that materials used do not infringe intellectual property rights;

• Maintaining reliable internet access, equipment, and teaching tools.

Simones Tutoring does not guarantee minimum bookings, earnings, student enrollment, or business opportunities.

e. Independent Contractor Relationship

Educators provide services to Simones Tutoring as independent service providers and not as employees, agents, or representatives of the company.

Nothing in this Teacher Addendum creates:

• An employment relationship;

• A partnership;

• A joint venture;

• An agency relationship beyond payment processing authorization.

Teachers are solely responsible for:

• Taxes;

• Insurance;

• Work permits or visas;

• Government reporting obligations;

• Pension or retirement obligations;

• Compliance with labor laws applicable to independent contractors.

Teachers are not employees of Simones Tutoring and are not entitled to employee benefits.

f. Communications With Students and Parents

Teachers must communicate professionally and respectfully.

Teachers may not:

• Solicit off-platform payments;

• Share personal banking information with students or parents;

• Encourage students to bypass Simones Tutoring systems;

• Send spam, promotional content, or unauthorized advertisements;

• Share inappropriate or unsafe external links.

All educational and business communications related to platform services should remain within approved Simones Tutoring systems whenever possible.

2. Classes and Educational Services

a. Class Standards

Teachers are responsible for ensuring that Classes:

• Match published descriptions;

• Are age-appropriate;

• Maintain educational value;

• Begin and end on time where reasonably possible;

• Provide a professional learning experience.

Teachers should notify students or parents promptly regarding:

• Cancellations;

• Schedule changes;

• Technical disruptions;

• Instructor substitutions.

b. Recording and Monitoring

Simones Tutoring may record, monitor, or review Classes for:

• Quality assurance;

• Safety;

• Training;

• Compliance;

• Customer support;

• Dispute resolution.

By teaching through Simones Tutoring, Teachers consent to such recording and monitoring where permitted by law.

Teachers may not independently record students without obtaining all legally required permissions.

c. Educational Content

Teachers retain ownership of original educational content they create, subject to the license granted below.

Teachers grant Simones Tutoring a worldwide, non-exclusive, royalty-free license to:

• Display;

• Promote;

• Market;

• Reproduce;

• Distribute;

• Use excerpts of

teacher-created content, class listings, profile information, and recorded sessions for platform operations, marketing, training, and promotional purposes.

Teachers represent that they own or have rights to all materials used in their Classes.

3. Payments and Fees

a. Teacher Payments

Teachers may receive payments for completed Classes in accordance with Simones Tutoring payment policies.

Payment schedules, platform commissions, service fees, processing fees, and payout methods may be updated from time to time.

Teachers are responsible for ensuring their payment details remain accurate.

b. Refunds and Disputes

Simones Tutoring reserves the right to:

• Issue refunds;

• Resolve disputes;

• Reverse payments;

• Withhold payouts;

• Investigate suspicious transactions.

Refund decisions may consider:

• Student complaints;

• Teacher attendance;

• Technical failures;

• Misrepresentation;

• Safety concerns;

• Violations of platform policies.

Simones Tutoring reserves sole discretion in resolving payment-related disputes.

c. Taxes

Teachers are solely responsible for:

• Reporting income;

• Paying taxes;

• Filing tax documentation;

• Complying with VAT, GST, sales tax, or other applicable tax obligations.

Simones Tutoring may request tax forms or compliance information where legally required.

4. Platform Rules and Restrictions

Teachers may not:

• Use the platform for unlawful purposes;

• Misrepresent qualifications or credentials;

• Impersonate another person;

• Upload malicious software or harmful code;

• Attempt unauthorized access to platform systems;

• Circumvent platform fees or payment systems;

• Recruit students away from the platform without authorization.

Violation of platform rules may result in:

• Suspension;

• Permanent removal;

• Loss of payouts;

• Legal action where appropriate.

5. Confidentiality and Privacy

Teachers must protect confidential information relating to:

• Students;

• Parents;

• Other teachers;

• Simones Tutoring business operations;

• Educational records;

• Internal policies or systems.

Teachers must comply with all applicable privacy and data protection laws, including where applicable:

• UAE privacy laws;

• GDPR;

• COPPA;

• FERPA;

• Other relevant regulations.

Teachers may only access student information necessary to provide educational services.

6. Intellectual Property

The Simones Tutoring name, logos, trademarks, platform materials, and branding remain the exclusive property of Simones Tutoring FZE.

Teachers may not use Simones Tutoring branding:

• In misleading ways;

• Without authorization;

• In ways suggesting employment or ownership.

7. Suspension and Termination

Simones Tutoring may suspend or terminate Teacher access immediately for reasons including:

• Policy violations;

• Safety concerns;

• Fraud or misconduct;

• Repeated student complaints;

• Non-compliance with laws;

• Harm to platform reputation.

Teachers may stop offering services at any time, subject to completion of any already scheduled Classes and outstanding obligations.

Upon termination:

• Access to platform systems may be revoked;

• Future class listings may be removed;

• Outstanding investigations may continue;

• Certain legal obligations survive termination.

8. Limitation of Liability

To the maximum extent permitted by law, Simones Tutoring FZE shall not be liable for:

• Indirect or consequential damages;

• Lost profits or lost business opportunities;

• Student misconduct;

• Technical interruptions;

• Third-party actions;

• Unauthorized access to accounts.

Total liability arising from this Teacher Addendum shall not exceed the total fees paid to the Teacher during the six (6) months preceding the claim.

9. Indemnification

Teachers agree to defend, indemnify, and hold harmless Simones Tutoring FZE and its affiliates, directors, employees, contractors, and partners from claims arising from:

• Teacher misconduct;

• Violation of laws or regulations;

• Intellectual property infringement;

• Breach of this Addendum;

• Educational content provided by the Teacher;

• Negligence or willful misconduct.

10. Governing Law

This Teacher Addendum shall be governed by and interpreted in accordance with the laws of the United Arab Emirates.

Any disputes arising under this Teacher Addendum shall be subject to the jurisdiction of the competent courts of Dubai, United Arab Emirates, unless otherwise required by applicable law.

11. Modifications

Simones Tutoring may update this Teacher Addendum from time to time.

Continued use of the platform after updates become effective constitutes acceptance of the revised terms.

Teachers are responsible for reviewing the latest version periodically.
